Securitize Capital LLC, a unit of tokenization firm Securitize Corp. (NYSE: SECZ), has registered with the U.S. Securities and Exchange Commission as an investment adviser, according to The Defiant. The registration took effect July 22. The subsidiary has operated in Florida since March 2023 as an exempt reporting adviser, a status that limited it to serving venture capital funds or private funds with less than $1.5 billion in U.S. assets under management. SEC registration removes that ceiling. The report said the move rounds out Securitize's regulatory setup for tokenized securities. Its U.S. affiliates now include registered investment advisers, registered broker-dealers and alternative trading systems, transfer agents, and fund managers. The filing comes five days after SEC Commissioner Hester Peirce warned on July 22 that on-chain vaults and lending strategies could raise investment adviser compliance issues. In U.S. trading, SECZ fell nearly 10% on Monday and was recently at $6.76 a share, valuing the company at about $1 billion.
