Storj Labs, the parent of decentralized cloud storage network Storj, filed for Chapter 11 bankruptcy protection on July 26 in the U.S. Bankruptcy Court for the Northern District of West Virginia. The company said the network will continue operating as normal and token functionality will not be affected. It also said it intends to include a mechanism in its restructuring plan that could allow STORJ holders to pursue equity in the reorganized company.
Storj framed the token-to-equity concept as a way to rebalance ownership among management, the decentralized community, token holders and investors. The company has not provided details on eligibility (such as whether a snapshot or lockup would be required), the amount of equity to be allocated, or how participation would work. Any terms would be set during the Chapter 11 process and require court approval.
Founded in 2014, Storj is among the earlier decentralized infrastructure projects. Its model uses blockchain-based incentives to coordinate a global network of node operators who contribute unused hard drive capacity, positioning the service as an alternative to centralized offerings such as Amazon S3. Users pay for storage and bandwidth in STORJ tokens, and node operators are compensated in STORJ.
Storj previously raised seed funding from Google Ventures, Qualcomm Ventures and Techstars, and conducted a token sale in 2017 that raised about $30 million. In 2024, the company said annual recurring revenue (ARR) rose sevenfold to roughly $30 million and headcount reached 81. In July 2024, Storj acquired GPU computing company Valdi, broadening from storage into compute rentals.
In October 2025, data-assetization-focused Inveniam Capital Partners acquired Storj via a reverse triangular merger. CEO Colby Winegar stayed on, and Executive Chairman Ben Golub joined Inveniam's board. STORJ fell 18% on the day the deal was announced. Less than a year later, the combined entity entered bankruptcy proceedings.
In an open letter, Storj attributed the filing to legacy debt, saying liabilities were largely tied to operations and acquisitions that predated the current strategy and were too large to be absorbed through growth alone. The company said current operations have been streamlined, but historical obligations require a court-supervised restructuring. It also said it plans to divest non-core businesses acquired in prior transactions and refocus on decentralized storage.
Valdi is widely viewed as the most likely divestiture candidate. The acquisition brought a global network of more than 16,000 GPUs and initially underpinned Storj's push into AI compute. From a restructuring standpoint, the deal may also have contributed to the liability load. A sale would signal a return to a storage-first strategy and a step back from positioning as a full-stack distributed cloud platform.
The token-to-equity idea faces a central constraint: Chapter 11 priority rules. Creditors are paid ahead of equity holders, and token holders are typically treated as closest to equity in legal terms, leaving them at the bottom of the stack. Only after creditors are repaid in full or under agreed terms would residual value be available for token holders.
The crypto sector has little precedent for exchanging tokens for equity in bankruptcy. In litigation tied to the bankrupt mining firm Giga Watt, which raised roughly $22 million through an ICO, the court found utility token holders were not company members and could not automatically gain equity status; any rights would have to be specifically created in a restructuring plan. The FTX case set reference points for valuing crypto assets, but it focused on creditor claims rather than a token-to-equity pathway.
Token concentration adds another variable. Total supply is 425 million STORJ, with about 30% (roughly 130 million tokens) held by Storj Labs. If company-held tokens also convert, it could create conflicts between insiders and external holders.
STORJ was last quoted around $0.06584, implying a market capitalization of about $27.97 million. After the announcement, the token fell 11.2% over the past 24 hours.
In the decentralized storage landscape, Storj remains smaller than leading rivals. Filecoin's market cap is about $607 million, nearly 20 times STORJ's, with network storage capacity above 1.8 EiB. In early 2026, Filecoin launched its Onchain Cloud roadmap, highlighting automated data repair, perpetual renewals and liquid staking of storage power via the Filecoin Virtual Machine (FVM), positioning itself as a decentralized alternative to AWS. Arweave has pursued a different lane, gaining share in NFT metadata and blockchain historical state storage with a one-time payment model for permanent storage.
Storj's differentiator is retrieval speed. The system uses erasure coding to split files into more than 80 shards distributed across nodes; only 29 shards are needed to reconstruct the file, delivering millisecond-level retrieval latency closer to centralized cloud performance. That supports hot-data use cases such as video streaming and application data, though overall market share remains far below Filecoin's.
During the restructuring, uncertainty could prompt node operators and enterprise customers to migrate to Filecoin or Arweave, posing a tangible risk to network stability. For STORJ holders, key watch items include the final token-to-equity terms and court approval timeline, how Storj's 30% token stake will be treated, and whether the post-Valdi business can sustain a valuation for any equity distribution.
